1. Acceptance of Terms
By accessing, browsing, or using the PageClerk website, dashboard, APIs, or embeddable chat widgets (collectively, the "Service"), provided by Reshapify ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
2. Service Description & AI Disclaimers
PageClerk provides website owners with automated retrieval-augmented AI assistants that index customer-provided text, sitemaps, and documents to generate answers citing source material.
While PageClerk utilizes state-of-the-art vector similarity retrieval and grounded prompts to minimize factual inaccuracy:
- You acknowledge that language models may occasionally generate inaccurate, incomplete, or delayed responses.
- You are solely responsible for reviewing and verifying the accuracy of responses generated by chatbots deployed under your account.
- PageClerk is not liable for business decisions, advice, or claims made by your AI chatbots to your website visitors.
3. Customer Content & Intellectual Property
Ownership: You retain all intellectual property rights and full ownership of any text, documents, files, URLs, or data ("Content") that you upload or train your chatbots on.
License to Us: You grant PageClerk a worldwide, non-exclusive license to process, chunk, embed, and store your Content solely for the purpose of operating and delivering the Service to you and your visitors.
No Model Training: PageClerk does not use your private documentation or customer conversation transcripts to train generalized public AI models.
4. Acceptable Use Policy
You agree not to use the Service to:
- Process or disseminate illegal, harassing, defamatory, or hateful content.
- Scrape, crawl, or embed copyrighted material that you do not own or hold authorization to distribute.
- Attempt to reverse-engineer, decompile, or compromise the security of the PageClerk platform or Convex backend.
- Deploy bots for deceptive fraud, phishing, or financial impersonation.
5. Subscriptions, Usage & Billing
Subscription Plans: PageClerk offers Free, Indie, Startup, Scaleup, and Enterprise subscription tiers. Each tier includes a monthly message allowance and a training character limit.
Billing Cycle: Subscriptions are billed in advance on a recurring monthly or annual basis via Stripe.
Message Usage: Each assistant reply counts against your monthly message allowance. Premium models use more messages per reply than the default models; the current rates are shown in your dashboard.
Cancellations: You may cancel your subscription at any time through the Stripe Customer Portal accessible in your Account Settings. Your service will remain active until the end of your current billing period.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall PageClerk or Reshapify be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
